What you need to register an Estonian company (OÜ)

  • Minimum 1 director and 1 shareholder (individual or legal entity). A local director is not mandatory. Non-residents can own and manage the company.
  • Contact person — mandatory if the management board (board) is located outside Estonia.
  • Unique company name (propose 2–3 options). Business activities (EMTAK/NACE).
  • Legal address in Estonia.
  • Share capital: for an OÜ a flexible approach is set, with a minimum requirement of only €0.01.
  • Signing and filing can be done online via e-Residency; if not available, documents are executed before a notary under a Power of Attorney.
  • Special licenses/permits — applies only to regulated activities.

How much does it cost to register a company in Estonia?
Costs include the state fee, legal address, contact person if needed, and sometimes notary/apostille expenses for registration via Power of Attorney (PoA). Before starting, we provide a transparent quote estimate. Share capital for an OÜ is flexible and can be from €0.01.
Is it worth obtaining Estonian e-Residency?
Yes, if remote signing and company management without travel are important. e-Residency is not a visa or tax residency and by itself does not guarantee a bank account, but it significantly simplifies all online procedures.
How long does company registration in Estonia take?
Usually 1–5 business days after KYC and name approval (registration via e-Residency). Registration by PoA may take longer. Next: an EMI-IBAN is often opened in 1–7 days; a traditional bank — 2–4+ weeks depending on the profile.
Is a local director required?
No. Non-residents can own and manage an OÜ. If the management board is outside Estonia, a registered address in Estonia and a contact person are required.
Is Estonia “tax-free” for business? / How is corporate tax applied in Estonia?
Estonia is not “tax-free”: undistributed profit is 0%, tax is paid when dividends/other distributions are made. VAT (if registered) and payroll taxes also apply — we set this up after incorporation.
Can non-residents open a bank account?
Yes, but banks scrutinize applications without local presence. Typically you start with an EMI-IBAN (fast SEPA/SWIFT) and add a traditional bank account later.
